About the Role
Our client, a leading entity in the financial services sector, is seeking an accomplished Senior Legal Advisor specializing in Mergers & Acquisitions for their prominent legal department in Sandton. This high-impact role involves leading and advising on complex M&A; transactions, joint ventures, and corporate restructurings. You will be instrumental in navigating intricate legal landscapes, managing risk, and ensuring the successful execution of strategic corporate initiatives. Key Responsibilities
- Lead the legal aspects of complex M&A; transactions, from initial strategy and due diligence to negotiation and closing.
- Structure and advise on corporate finance deals, joint ventures, and strategic partnerships.
- Draft and negotiate key transaction documents, including Share Purchase Agreements,



Shareholders' Agreements, and NDAs.
- Provide expert legal counsel on corporate governance, securities law, and regulatory compliance related to transactions.
- Manage external legal counsel and internal stakeholders effectively throughout the transaction lifecycle.
- Identify and mitigate legal risks associated with corporate transactions and business strategies.

Requirements
- Admitted Attorney with a minimum of 10 years of post-qualification experience, with a strong focus on M&A; and corporate finance.
- Demonstrated expertise in structuring, negotiating, and closing significant corporate transactions.
- Deep understanding of South African corporate law, securities regulations, and deal-making processes.
- Exceptional negotiation, drafting, and analytical skills.
- Proven ability to manage demanding transaction timelines and complex stakeholder requirements.
