Unicoin Inc. is a U.S.-based, SEC-reporting company with a diversified portfolio of operating businesses, investments, and strategic assets. The company operates through a multi-entity corporate structure and is navigating its next stage of growth, capital formation, and strategic development.

We are seeking an experienced and hands-on Chief Financial Officer to lead the company's financial strategy, reporting, controls, capital planning, and financial operations.

This is a senior executive role requiring a combination of public-company financial expertise, strategic judgment, operational discipline, and the ability to work effectively in a dynamic entrepreneurial environment.

The Role

The Chief Financial Officer will serve as Unicoin's principal financial officer and a key strategic partner to the CEO and Board of Directors.

The CFO will have responsibility for the company's financial management, SEC financial reporting, accounting oversight, treasury, budgeting and forecasting, internal controls, audit coordination, capital planning, and financial aspects of corporate transactions.

The successful candidate must be comfortable operating at both strategic and execution levels — advising the Board and leadership team while also ensuring that the company's financial reporting, controls, cash management, and day-to-day financial processes are accurate and reliable.

Key ResponsibilitiesFinancial Leadership & Strategy

- Serve as a strategic financial advisor to the CEO and Board of Directors.
- Develop and execute financial strategies aligned with the company's short- and long-term objectives.
- Lead budgeting, forecasting, financial modeling, cash-flow planning, and scenario analysis.
- Provide management and the Board with clear visibility into liquidity, financial performance, obligations, risks, and capital requirements.
- Evaluate strategic opportunities, investments, partnerships, acquisitions, divestitures, and other corporate transactions from a financial perspective.
- Establish financial priorities and capital-allocation recommendations across the organization.

SEC Reporting & Public Company Compliance

- Serve as the company's principal financial officer.
- Lead and oversee the preparation and filing of Forms 10-K, 10-Q, 8-K, and other required SEC financial disclosures in coordination with legal counsel, accounting personnel, auditors, and external advisors.
- Review and certify applicable SEC filings as required of the company's principal financial officer.
- Maintain appropriate disclosure controls and internal controls over financial reporting.
- Work closely with the CEO, Board, auditors, legal counsel, and accounting team to ensure accurate and timely financial reporting.




- Maintain readiness for increased reporting, governance, and compliance requirements as the company evolves.

Accounting, Audit & Financial Controls

- Oversee the accounting function and ensure accurate and timely financial statements in accordance with U.S. GAAP.
- Work closely with the Principal Accounting Officer and finance/accounting team.
- Manage relationships with independent auditors and oversee annual audits and quarterly reviews.
- Strengthen financial policies, procedures, reporting systems, and internal controls.
- Ensure appropriate consolidation and financial reporting across subsidiaries and affiliated entities.
- Oversee tax planning and compliance in coordination with external tax professionals.
- Identify and address financial, accounting, liquidity, and control risks proactively.

Treasury & Cash Management

- Maintain rigorous oversight of company liquidity and cash position.
- Lead short- and long-term cash-flow forecasting.
- Oversee banking relationships, cash management, accounts payable, financial commitments, and treasury operations.
- Establish processes for prioritizing financial obligations and deploying capital efficiently.
- Provide management and the Board with timely visibility into cash requirements and financial runway.

Capital Markets & Fundraising

- Support the company's fundraising and capital formation activities.
- Develop financial models, projections, investor materials, and financial presentations.
- Participate in discussions with investors, lenders, financial institutions, and strategic partners as appropriate.
- Evaluate financing alternatives and advise leadership on capital structure.
- Support due diligence processes and financial negotiations related to investments and corporate transactions.
- Ensure financial communications to investors are accurate, consistent, and supported by the company's financial records and regulatory disclosures.

Corporate Structure & Strategic Transactions

- Provide financial oversight across Unicoin's subsidiaries, investments, and affiliated entities.
- Evaluate intercompany transactions, ownership structures, financial obligations, and capital flows.
- Support restructuring, divestitures, acquisitions, strategic investments, and other transactions when required.
- Work closely with legal counsel to ensure financial and corporate structures are properly documented and reflected in the company's financial reporting.




- Support valuation and financial analysis of company assets and investments.

Executive & Board Responsibilities

- Prepare and present financial updates, forecasts, risk assessments, and recommendations to the CEO and Board.
- Participate in Board and executive leadership meetings.
- Translate complex financial issues into clear recommendations for decision-makers.
- Establish appropriate financial KPIs and management reporting.
- Build a culture of accountability, transparency, and financial discipline throughout the organization.

QualificationsRequired

- 10+ years of progressive finance and accounting experience, including significant senior financial leadership experience.
- Previous CFO, VP Finance, Controller, or equivalent senior finance leadership experience.
- Strong knowledge of U.S. GAAP and financial reporting.
- Demonstrated experience with SEC reporting requirements and preparation or oversight of Forms 10-K and 10-Q.
- Experience working with external auditors, legal counsel, and Boards of Directors.
- Strong financial modeling, budgeting, forecasting, and cash-flow management capabilities.
- Experience managing complex corporate structures, subsidiaries, or multiple business units.
- Strong understanding of internal controls and financial governance.
- Ability to operate effectively in a lean, fast-moving organization with limited resources.
- Based in the United States and legally authorized to work in the U.S.

Preferred

- Previous experience serving as CFO or senior financial executive of an SEC-reporting company.
- CPA, CFA, MBA, or equivalent professional qualification.
- Experience with capital raising, private placements, debt or equity financing, and investor due diligence.
- Experience with digital assets, fintech, financial services, or technology companies.
- Experience with corporate restructuring, M&A;, divestitures, or complex investment structures.
- Experience working with geographically distributed and international teams.

The ideal candidate combines the discipline of a public-company financial executive with the adaptability of a startup operator.

This person is comfortable working in an environment where priorities can evolve quickly, financial resources must be managed carefully, and leadership requires both strategic thinking and hands-on execution.

They should be able to independently assess financial issues, identify risks before they become problems, establish stronger processes where necessary, and provide the CEO and Board with clear, objective financial guidance.

Above all, the CFO must bring sound judgment, integrity, accountability, and a strong commitment to accurate and transparent financial reporting.
