The Role
- Serve as co-counsel for Moritz's venture and investment work in Argentina: seed and growth equity rounds, SAFEs and convertible instruments, term sheets, shareholder agreements, and secondaries.
- Lead the drafting, review, and negotiation of investment documentation for founders, startups, angels,



and funds on both the company side and the investor side.
- Run legal due diligence, manage closing processes and conditions precedent, and coordinate signing and completion.
- Advise on cap table structuring, employee option plans (ESOPs), governance and board matters, and investor rights.
- If you accept work with a known SLA (ex: 24hr turnaround), you must commit to meeting that SLA.

What You’ll Bring
- 5+ years practising venture capital, private equity, or corporate finance law in private practice or in-house.
- Deep familiarity with investment documentation term sheets, subscription and shareholders' agreements, SAFEs and convertible notes, and articles / constitutional documents.
- Both-sides experience. You've acted for companies and for investors, and you know where each side's real risk sits.
