Job Overview

We are currently seeking a AVP/Senior Counsel to join the Technology and Intellectual Property Legal Team as a member of the Intellectual Property Legal team. This position offers an excellent opportunity for an experienced IP attorney to engage in technology transactions at the intersection of technology and finance. The role involves structuring and drafting IP terms across a range of technology agreements—including IP licenses, SaaS agreements, professional services agreements, collaboration agreements—as well as investment and M&A; transactions. The attorney will also provide specialized support in addressing IP issues related to Generative AI platforms, ensuring that IP terms are effectively managed and aligned with the latest developments in this field while safeguarding the Firm’s IP rights.

The Technology and Intellectual Property Legal Team, part of the Corporate Legal Department, supports the firm’s technology organization globally, across all lines of business, corporate functions, and regions. The team handles Intellectual Property, Cybersecurity, Privacy, Blockchain, Cryptocurrencies, Cloud, Data Management, Technology Transactions, Outsourcing, SaaS and Licensing Agreements, and emerging technologies including quantum computing, artificial intelligence, and machine learning.

Job Responsibilities

- Partner with the business and other legal experts to structure and negotiate IP terms in strategic technology agreements with vendors, partners, and third parties, including IP licenses, SaaS agreements, professional services agreements, and collaboration agreements.
- Structure and negotiate IP transaction documents and IP terms for mergers, acquisitions, and strategic investments across all of the lines of business, including Stock Purchase Agreements, Merger Agreements,



Acquisition Agreements, disclosure schedules, side letters, and related transaction documents.
- Conduct due diligence reviews of all IP‑related documents in acquisition and investment transactions in coordination with outside counsel to identify and understand IP risks and present findings to stakeholders.
- Provide advisory and transactional support to business and technology stakeholders by assessing IP legal risks and evaluating strategies to mitigate risks.
- Review, interpret, and analyze IP agreements, providing guidance to clients and partners on IP rights and responsibilities, ensuring alignment with policies and regulatory guidance.
- Provide legal support and guidance on IP issues related to the rapidly evolving field of Generative AI, ensuring compliance with applicable laws and regulations while fostering innovation and protecting the Firm’s IP assets.
- Assist with IP litigation and copyright issues.

Required Qualifications, Capabilities, and Skills

- 6+ years of relevant intellectual property experience in a law firm or corporate law department.
- Substantial experience drafting and negotiating IP provisions in various technology agreements, including IP licenses, software licenses, SaaS agreements, technology transfer agreements, consulting, professional, and other complex integral technology agreements.




- Substantial experience handling IP‑related due diligence and negotiating IP provisions in M&A; and strategic investment transaction documents.
- Interest in new and emerging technology solutions and applications.
- Demonstrated understanding of IP issues and risks associated with Generative AI platforms.
- Strong analytical and problem‑solving skills.
- Strong business judgment and strategic thinking.
- Expertise in independently identifying issues, analyzing problems, and delivering effective solutions.
- Strong communication skills, with the ability to engage and interact with personnel at all levels, including senior executives.
- Proven ability to maintain accuracy under pressure, meet deadlines, and manage multiple tasks in a high‑performance environment.
- Excellent interpersonal skills with the ability to build consensus within a global matrix organization.

Preferred Qualifications, Capabilities, and Skills

- In‑house experience in the financial services industry or technology industry.
