We are currently seeking a AVP/Senior Counsel to join the Technology and Intellectual Property Legal Team as a member of the Intellectual Property Legal team.
This position is an excellent opportunity for an experienced IP attorney to engage in technology transactions at the intersection of technology and finance.In this role, the attorney will be responsible for structuring and drafting IP terms across a range of technology agreements including IP licenses, SaaS agreements, professional services agreements, collaboration agreements, as well as investment and M&A; transactions.Additionally, the attorney will provide specialized support in addressing IP issues related to Generative AI platforms, ensuring that IP terms are effectively managed and aligned with the latest developments in this field, while safeguarding the IP rights of the Firm.Our organization operates in a dynamic and fast-paced environment, driven by an ambitious technology agenda.This role presents an opportunity to collaborate with a wide range of business partners, drive innovative solutions, and provide strategic legal advice.The Technology and Intellectual Property Legal Team, which is a part of the Corporate Legal Department, provides legal support to the firm's technology organization globally, across all lines of business, corporate functions, and regions.
The Team provides primary legal coverage in the areas of Intellectual Property, Cybersecurity, Privacy, Blockchain and Cryptocurrencies, Cloud, Data Management, Technology Transactions, Outsourcing, SaaS and Licensing Agreements, and other emerging technologies including quantum computing and artificial intelligence/machine learning.
The Team also supports many of the firm's most innovative and cutting edge initiatives, including new products and services,



the acquisition of all technology services, research and development, and external partnerships and collaborations.
Job responsibilities:Partner with the business and other legal experts of the Technology and Intellectual Property Legal Team to structure and negotiate IP terms in strategic technology agreements with vendors, partners, and other third parties, including IP licenses, SaaS agreements, professional services agreements, and collaboration agreementsStructure and negotiate IP transaction documents and IP terms for mergers, acquisitions, and strategic investments across all of the JPMC lines of business, including Stock Purchase Agreements, Merger Agreements, Acquisition Agreements, disclosure schedules, side letters, and other related transaction documentsConduct due diligence reviews of all IP-related documents in acquisition and investment transactions in coordination with outside counsel to identify and understand IP risks in proposed transactions, and participate in periodic project discussions with key stakeholders and other legal counterparts to present IP risks based on the due diligence findingsProvide advisory and transactional support to business and technology stakeholders by assessing IP legal risks associated with proposed transactions, and evaluate potential strategies to mitigate identified IP risksReview, interpret, and analyze IP agreements, providing guidance to clients and partners on IP rights and responsibilities,



ensuring alignment with JPMC policies and regulatory guidanceProvide legal support and guidance on IP issues related to the rapidly evolving field of Generative AI, ensuring compliance with applicable laws and regulations while fostering innovation and protecting the Firm's IP assetsAssist with IP litigation and copyright issues Required qualifications, capabilities, and skills6+ years of relevant intellectual property experience in a law firm and/or corporate law departmentSubstantial experience in drafting and negotiating IP provisions in various technology agreements, including IP licenses, software licenses, SaaS agreements, technology transfer agreements, consulting, professional, and other complex global technology agreementsSubstantial experience in handling IP-related due diligence and negotiating IP provisions in M&A;/Strategic Investment transaction documentsInterest in new and emerging technology solutions and applicationsDemonstrated understanding of IP issues and risks associated with Generative AI platformsStrong analytical and problem-solving skillsStrong business judgment and strategic thinkingExpertise in independently identifying issues, analyzing problems, and delivering effective solutionsStrong communication skills, with the ability to engage and interact with personnel at all levels, including senior executives Proven ability to maintain accuracy under pressure, effectively meet deadlines, and manage multiple tasks in a high-performance environmentExcellent interpersonal skills with the ability to build consensus within a general matrix organizationPreferred qualifications, capabilities, and skills In-house experience in the financial services industry or technology industry
